1) Payment Terms - Payment is required upfront or according to an agreed milestone plan.

A - Graphic Design
1). Graphic design projects must be paid in full in advance.
2). All communication on Design or Related to project should be in Mail or in PPT format, any verbal communication will not be taken in consideration.

B - Web Development
1). Website design and development payments are split into two parts: 50% upfront, and the remaining 50% before the website goes live.
2). Any changes or updates to a website must be requested before it goes live; subsequent changes will be chargeable.
3). Any Annual Maintenance Contract (AMC) for a website is valid for up to 3 months only.

C - Web Hosting
1). All websites developed by Vast Imagination will be hosted on a shared hosting platform unless a different arrangement is agreed upon in writing.
2). If the client requires personalized or dedicated hosting,it must be requested in advance. A separate contract and pricingstructure will apply.
3). Hosting and domain charges are non-refundable and must be paid in full before development begins.
4). Renewal for domain and hosting will be due annually and must be paid on time to avoid service interruption.
5). Clients will not be given root or backend access to the hosting unless agreed upon. Site maintenance and updates must be handled through Vast Imagination.
6). While we ensure quality hosting services through third-party platforms, Vast Imagination is not liable for downtime, performance issues, or data loss caused by external hosting providers.

If the client wants to move hosting to another platform:
1). A migration fee will apply.
2). Raw files will be provided only if 50% or more payment has been made and less than 50% of work remains.
3). CSS, HTML, or backend files will not be provided without proper clearance and agreement.

D - Digital Marketing
1). Social media marketing payments must be made in advance to run advertisements.
2). Deliverables will be decided based on the client’s requirements. Any work beyond the agreed deliverables will incur additional charges and will not be included in the original scope.
3). Clearly define what is included in the service (e.g., number of posts per month, platforms covered, ad creatives, campaign strategy, monthly reports).
4). Delay in client approvals will cause shifts in scheduling, and missed deadlines will not be the agency's responsibility.
5). Set a clear approval window (e.g., 48 hours) after which the content is considered approved.
6). Clients must provide timely access to social media accounts and ad manager dashboards.
7). Vast Imagination is not responsible for account suspensions or bans due to policy violations on the client's end. ( eg. Google Business, Social Account, Website Backlist ) - If client try to access or edit from their end, without informing Vast Imagination.
8). The agency will optimize and monitor campaigns, but cannot guarantee specific results (e.g., leads, conversions, ROI) due to external algorithm changes or industry competition.
9). Social media marketing is a monthly retainer-based service.
10). Social marketing will be Minimum 1-month or 3-month lock-in recommended, depending on your business model.
11). Early cancellation of the monthly package is not refundable once work has started.
12). Raw design files (e.g., PSDs, AI) not refundable once work has started. and extra charges may apply.

E - Social Festival Pack

1). Social Festival pack is a one time pay package full amount to be taken in advance.
2). It is a template-based pack; any customization beyond the template will incur additional charges.

F - Digital Visiting Card

1). Clients can choose from pre-designed templates. Customization is chargeable.
2). Once content and template are finalized, no major edits will be allowed. No refunds after project initiation.

G - SEO Services

1). SEO services must be paid monthly in advance.
2). Payments are non-refundable once the month’s strategy and content have been initiated.
3). In case of project pause or delay from the client, services and timelines may shift, but payments remain due as per schedule.

H - 3D Animation

1). Payment terms will vary depending on the project scope, complexity, and timeline.
2). Typically, 50% is required upfront, and the remaining 50% before final delivery.
3). Customized 3D models or assets will not be shared unless fully paid and explicitly agreed upon.
4). No refunds once modeling or animation has started, as it involves high production effort.

2.   Project Hold Policy :

If a project is put on hold after payment has been made, and there is no communication from the client’s side (via email, phone, or any official channel) for a period exceeding 30 days, the project will be considered inactive. In such cases:

1). No refund will be issued for the work already started but not acknowledge by client.
2). Whenever the client chooses to resume the project, a new agreement will be drafted based on the revised scope, timelines, and pricing, if applicable.
3). Vast Imagination reserves the right to charge a reactivation fee if significant time or resource allocation is required to restart the project.

3.   Late Payment Policy :

A 10% fine will be applied to the total project amount for late payments. Work may be paused or cancelled due to non-payment.

4.   Approval Delays :

If client approvals or feedback are delayed, the final submission and delivery of the project will be delayed accordingly.

5.   Intellectual Property :

Ownership of final deliverables transfers to you only upon full payment. Vast Imagination retains the right to showcase work and rejected concepts for portfolio and promotional purposes.

6.   Revisions :

1). Revisions are limited as specified in the project scope; additional changes will incur extra charges or be considered a new project.
2). For Graphic Design, up to 3 revisions are included as specified in the project scope. Additional changes will incur extra charges or be treated as a new project.
3). For Web Development, 2 design templates will be provided, and the client must choose one to proceed. Any further design changes after selection will be chargeable.

7.   Client Responsibilities & Timelines :

Clients are responsible for providing timely feedback and necessary materials. Project timelines estimates may change due to client delaysare or unforeseen circumstances.

8.   Cancellation Policy :

1). If you cancel the project, you are liable for all work completed up to the cancellation date. Advance payments are non-refundable.
2). Hosting cancellation or termination will result in a loss of website access or data, unless transferred in advance. After expiring the data will be chargeable.
3). If the website is over 50% completed, No cancellation or refund will be accepted/provided.

9.   Confidentiality :

Your data and project details will be kept confidential. A Non-Disclosure Agreement (NDA) can be arranged upon request for enhanced confidentiality.

10.   Limited Liability :

Vast Imagination is not liable for any losses incurred by the client due to the use of deliverables, errors on digital platforms, or delays caused by external factors beyond our control.

11.   Acceptance of Terms :

By proceeding with our services, you acknowledge that you have read, understood, and agreed to the above terms and conditions.
